Closure Of LLP

LLP which closes down its operations can file for striking off its name from the register, following which it ceases to exist. The procedure for striking off LLP is carried by the Registrar (ROC)

Where a limited liability partnership is not carrying on any business or operation for a period of two years or more the Registrar can take suo motu action for striking off the name of the LLP.

Documents required

The following documents are required to be attached while filing these forms for applying for striking off LLP

  • Where the limited liability partnership is regulated under a special law, the approval of the regulatory body constituted or established under that law.
  • A statement of account disclosing nil assets and nil liabilities, certified by a Chartered Accountant in practice made up to a date not earlier than thirty days of the date of filing of Form 24.
  • An affidavit signed by the designated partners in relation to closure of operations.

Application process for striking off

  • Obtain consent of all partners of the limited liability partnership for striking off its name from the register.
  • All the assets and liabilities shall be settled.
  • File overdue returns in Form 8 and Form 11 up to the end of the financial year in which the limited liability partnership ceased to carry on its business or commercial operations.
  • File Form 24 for striking off with required attachments.

Once the application is made to the registrar of companies by file, e-form 24 with required fees, then ROC will verify all the documents then it will remove the name of the LLP.
